Umunde Marketplace is an online marketplace created to showcase and sell the work of African fashion designers and artists to customers worldwide. Umunde enables global commerce while creating local impact by allocating part of its commission toward charitable initiatives in the Designer’s country of origin.
Umoja acts solely as a marketplace facilitator and is not the manufacturer, owner, or direct seller of the products listed unless explicitly stated.
By registering as a Designer, you represent and warrant that:
● You are an African designer, artist, or a business legally authorised to represent African-designed or African-made products.
● You have full legal authority to enter into this Agreement.
● All information provided to Umunde during onboarding and thereafter is accurate, complete, and up to date.
● Your products comply with applicable laws, regulations, and export requirements.
Umunde reserves the right to approve, suspend, or remove Designers at its sole discretion to protect platform integrity.
The Designer agrees to:
● Provide truthful, accurate, and complete product descriptions, pricing, images, sizing, materials, and care instructions.
● Ensure products meet reasonable quality, safety, and craftsmanship standards.
● Not list counterfeit, illegal, infringing, or misleading products.
● Clearly indicate whether items are ready-to-ship or made-to-order, including realistic production timelines.
Umunde may remove or suspend listings that breach these standards without prior notice.
● Designers independently set the retail prices for their products.
● Umunde Marketplace charges a commission of five percent (5%) on the gross sale price of each completed transaction made on the platform.
● The 5% commission is automatically deducted before Designer payouts.
● Payments are processed through Umunde’s approved third-party payment providers.
● Designer payouts will be made according to Umunde’s payout schedule, after deduction of:
○ Umunde’s 5% commission
○ Payment processing fees
○ Refunds, chargebacks, or adjustments (if applicable)
Umunde reserves the right to revise commission structures with reasonable prior notice.
● Umunde Marketplace is committed to delivering measurable local impact across Africa.
● From the 5% commission earned on each completed sale, Umunde Marketplace will allocate USD $1 (or local currency equivalent) to a charity selected by the Designer within the Designer’s country of origin.
● The $1 donation is funded entirely from Umunde’s commission and does not increase the commission rate or further reduce the Designer’s earnings.
● Designers must nominate a legitimate, lawful, and ethical charity or community initiative.
● Umunde reserves the right to review, approve, or request an alternative charity if the selected organisation does not meet transparency or compliance standards.
● Donations are made periodically and may be reported as part of Umunde’s social impact reporting.
The Designer is responsible for:
● Timely preparation and dispatch of all orders.
● Accurate shipping information and tracking where available.
● Appropriate packaging for domestic and international delivery.
Umunde is not responsible for delays, customs issues, carrier disruptions, or events beyond reasonable control, though it may assist in resolving logistics issues where possible.
● Designers must clearly state their return and refund policies on their storefront or product listings.
● Designers agree to cooperate in good faith to resolve customer complaints or disputes.
● Umunde reserves the right to issue refunds to customers in cases of fraud, non-delivery, or serious policy violations, with refunded amounts deducted from Designer payouts where applicable.
● Designers retain full ownership of their brand names, logos, designs, and intellectual property.
● By joining Umunde Marketplace, Designers grant Umoja a non-exclusive, royalty-free, worldwide license to use product images, descriptions, brand assets, and related content for platform operation, marketing, promotion, and advertising purposes.
● Designers warrant that their content does not infringe on third-party intellectual property rights.
Umunde may feature Designers, products, and brand stories across its website, social media, email campaigns, press materials, and advertising. Such promotion does not guarantee sales or specific exposure levels.
This Agreement remains in effect until terminated.
● Designers may terminate this Agreement at any time by providing written notice.
● Umunde may suspend or terminate this Agreement immediately if the Designer:
○ Breaches this Agreement
○ Engages in fraud or misrepresentation
○ Violates applicable laws or platform policies
○ Causes reputational harm to Umoja Marketplace
Outstanding orders must be fulfilled unless otherwise agreed.
To the fullest extent permitted by law:
● Umunde Marketplace is not liable for indirect, incidental, or consequential damages, including loss of profits or business interruption.
● Umunde’s total liability relating to a transaction shall not exceed the commission earned from that transaction.
The Designer agrees to indemnify and hold harmless Umunde Marketplace from any claims, damages, losses, or expenses arising from:
● Product defects or misrepresentations
● Intellectual property infringement
● Breach of this Agreement
● Violation of laws or third-party rights
This Agreement shall be governed by and interpreted in accordance with the laws of [Insert Governing Jurisdiction], unless otherwise required by applicable law.
Umunde Marketplace reserves the right to amend this Agreement. Continued use of the platform following notification of changes constitutes acceptance of the updated terms.
By registering as a Designer on Umunde Marketplace, you confirm that you have read, understood, and agreed to this Designer Onboarding Agreement, including the 5% commission structure and the allocation of USD $1 per sale from that commission toward charitable impact.
